1. Agreement
By accessing or using Sparkus (the “Service”), you agree to these Terms of Service (“Terms”) and our Privacy Policy.
If you are using the Service on behalf of an organisation, you represent that you have authority to bind that organisation.
If you do not agree, do not use the Service.
2. The Service
Sparkus is a cloud-based leadership development platform that may include goal tracking, exercises, assessments, messaging, scheduling,
matching between participants and coaches or mentors, reporting for authorised administrators, and integrations your organisation enables.
Features may vary by subscription or programme configuration.
3. Accounts and eligibility
You must provide accurate registration information and keep credentials confidential. You are responsible for activity under your account.
Notify support@sparkus.com promptly if you suspect unauthorised access.
We may refuse or suspend accounts that impersonate others, violate law, or threaten platform integrity.
4. Customer instructions and enterprise use
Where your organisation purchases Sparkus, additional terms or a data processing agreement may apply. Your organisation may set policies
(for example, retention or permitted integrations). Conflicts between these Terms and a written enterprise agreement are governed by that agreement.
5. Acceptable use
You agree not to:
Violate applicable law or third-party rights.
Upload malware, attempt unauthorised access, probe or stress systems without permission, or interfere with other users.
Harvest data from the Service by automated means except as expressly permitted in writing.
Use the Service to send unlawful, harassing, discriminatory, or hateful content.
Reverse engineer the Service except where mandatory law permits.
6. User content and confidentiality
You retain rights to content you submit, but grant us a worldwide, non-exclusive licence to host, process, display, and transmit that content
solely to operate, secure, and improve the Service and as instructed by your organisation’s programme configuration.
Coaching and mentoring content may be confidential; you must respect confidentiality obligations applicable to your role.
7. Intellectual property
Sparkus software, branding, documentation, and templates are protected by intellectual property laws. Except for the limited rights expressly granted,
these Terms reserve all rights. You must not remove proprietary notices.
8. Third-party services
Integrations (for example, identity providers, calendars, or video) are subject to third-party terms. We are not responsible for third-party services.
9. Warranties disclaimer
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” TO THE MAXIMUM EXTENT PERMITTED BY LAW. WE DISCLAIM ALL IMPLIED WARRANTIES INCLUDING MERCHANTABILITY,
FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT UNINTERRUPTED OR ERROR-FREE OPERATION.
10. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER SPARK NOR ITS SUPPLIERS WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY,
OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATED TO THE SERVICE OR THESE TERMS,
EVEN IF ADVISED OF THE POSSIBILITY. OUR AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THE SERVICE IN ANY TWELVE-MONTH PERIOD
WILL NOT EXCEED THE GREATER OF (A) THE FEES YOU PAID TO US FOR THE SERVICE DURING THAT PERIOD OR (B) ONE HUNDRED EUROS (€100), EXCEPT WHERE LIABILITY
CANNOT BE LIMITED UNDER MANDATORY LAW (FOR EXAMPLE, DEATH OR PERSONAL INJURY CAUSED BY NEGLIGENCE).
11. Indemnity
You will defend and indemnify Spark against claims arising from your misuse of the Service, your content, or your violation of these Terms, subject to applicable law.
12. Suspension and termination
We may suspend or terminate access for breach, risk to security, or legal requirements. You may stop using the Service at any time.
Sections intended to survive (including IP, confidentiality of our materials, disclaimers, liability limits, and governing law) survive termination.
13. Governing law and disputes
Unless your organisation’s agreement provides otherwise, these Terms are governed by the laws of Turkey, without regard to conflict-of-law rules,
and the courts of Istanbul, Turkey shall have exclusive jurisdiction, subject to non-waivable rights you may have as a consumer in your country of residence.
14. Changes
We may modify these Terms. We will post the updated Terms and update the “Last updated” date. For material changes, we will provide reasonable additional notice where practicable.
Continued use after the effective date constitutes acceptance.
Door Sparkus te gebruiken, gaat u akkoord met deze voorwaarden en ons privacybeleid. Gebruikt u Sparkus namens een organisatie, dan verklaart u bevoegd te zijn die organisatie te binden.
2. Dienst en accounts
Sparkus is een cloudplatform voor leiderschapsontwikkeling. U verstrekt juiste gegevens, bewaart inloggegevens veilig en meldt misbruik via support@sparkus.com.
3. Aanvaardbaar gebruik
Het is verboden de wet of rechten van derden te schenden, malware te verspreiden, ongeautoriseerd binnen te dringen, de dienst te misbruiken of gegevens onrechtmatig te verzamelen.
4. Inhoud en intellectueel eigendom
U behoudt rechten op door u aangeleverde inhoud, maar verleent ons een beperkte licentie om deze te hosten en te verwerken voor bedrijfsvoering. Software en merken van Sparkus blijven ons eigendom.
5. Aansprakelijkheid
Voor zover wettelijk toegestaan wordt de dienst geleverd “zoals ze is”, zonder impliciete garanties. Onze aansprakelijkheid is beperkt tot het maximum dat de wet toestaat; voor indirecte schade zijn wij niet aansprakelijk, behoudens dwingend recht.
6. Opschorting, beëindiging en wijzigingen
Wij kunnen toegang opschorten bij misbruik of risico’s. Wij kunnen deze voorwaarden wijzigen; voortgezet gebruik na de ingangsdatum betekent aanvaarding, voor zover toegestaan.
7. Toepasselijk recht
Tenzij schriftelijk anders overeengekomen, zijn de wetgeving en rechtbanken van Turkije van toepassing (Istanbul), met inachtneming van dwingende consumentenrechten.
Sparkus’u kullanarak bu Kullanım Koşulları ile Gizlilik Bildirimimizi kabul etmiş olursunuz. Bir kurum adına kullanıyorsanız, kurumu bağlama yetkisine sahip olduğunuzu beyan edersiniz.
2. Hizmet ve hesaplar
Sparkus, bulut tabanlı bir liderlik geliştirme platformudur. Doğru bilgi sağlamalı, kimlik bilgilerinizi korumalı ve yetkisiz erişimi support@sparkus.com üzerinden bildirmelisiniz.
3. Kabul edilebilir kullanım
Yasaya aykırı faaliyet, zararlı yazılım, yetkisiz erişim denemesi, hizmeti aksatma veya izinsiz veri toplama yasaktır.
4. İçerik ve fikri mülkiyet
Sunduğunuz içerik üzerindeki haklarınız saklıdır; hizmeti işletmek için sınırlı bir kullanım lisansı verirsiniz. Sparkus yazılımı ve markaları tarafımıza aittir.
5. Sorumluluk reddi ve sınırlama
Hizmet “olduğu gibi” sunulur; yürürlükteki kanunun izin verdiği ölçüde dolaylı zararlardan sorumlu tutulamayız. Zorunlu hükümler saklıdır.
6. Askıya alma, fesih ve değişiklikler
İhlal veya güvenlik riski halinde erişimi askıya alabiliriz. Koşulları güncelleyebiliriz; yürürlük tarihinden sonra kullanım, güncellemelerin kabulü anlamına gelebilir.
7. Uygulanacak hukuk
Aksi yazılı olarak kararlaştırılmadıkça Türkiye Cumhuriyeti kanunları (İstanbul mahkemeleri) uygulanır; tüketici için zorunlu yerel haklar saklıdır.
Al usar Sparkus, acepta estos Términos y nuestra Política de privacidad. Si actúa en nombre de una organización, declara que está autorizado para obligarla.
2. Cuentas y uso aceptable
Debe proporcionar información veraz, proteger sus credenciales e informar de accesos no autorizados. Está prohibido vulnerar la ley, introducir malware, acceder sin autorización o interferir con el servicio.
3. Contenido y propiedad intelectual
Usted conserva derechos sobre su contenido y nos otorga una licencia limitada para alojarlo y procesarlo para operar el servicio. El software y marcas de Sparkus nos pertenecen.
4. Exclusión de garantías y limitación de responsabilidad
El servicio se proporciona “tal cual”, en la medida permitida por la ley. No seremos responsables de daños indirectos salvo disposición imperativa en contrario.
5. Suspensión, terminación y cambios
Podemos suspender el acceso por incumplimiento o riesgos. Podremos modificar los Términos; el uso continuado tras la fecha efectiva puede implicar aceptación.
6. Ley aplicable
Salvo acuerdo escrito en contrario, rigen las leyes de Turquía y los tribunales de Estambul, sin perjuicio de derechos imperativos del consumidor.
Mit der Nutzung von Sparkus akzeptieren Sie diese Nutzungsbedingungen und unsere Datenschutzerklärung. Nutzen Sie Sparkus für eine Organisation, erklären Sie, diese verbindlich vertreten zu dürfen.
2. Konten und zulässige Nutzung
Sie geben korrekte Daten an, schützen Zugangsdaten und melden Missbrauch. Rechtswidrige Handlungen, Schadsoftware, unbefugter Zugriff oder Störungen des Dienstes sind untersagt.
3. Inhalte und geistiges Eigentum
Sie behalten Rechte an Ihren Inhalten und gewähren uns eine beschränkte Lizenz zum Hosting und zur Verarbeitung zum Betrieb des Dienstes. Software und Marken von Sparkus bleiben unser Eigentum.
4. Haftungsausschluss und Haftungsbeschränkung
Der Dienst wird „wie besehen“ bereitgestellt, soweit gesetzlich zulässig. Für mittelbare Schäden haften wir nicht, sofern nicht zwingendes Recht entgegensteht.
5. Sperrung, Kündigung und Änderungen
Wir können Zugänge bei Verstößen oder Risiken sperren. Wir können die Bedingungen ändern; die fortgesetzte Nutzung nach Inkrafttreten kann als Zustimmung gelten.
6. Anwendbares Recht
Sofern nichts Abweichendes schriftlich vereinbart ist, gilt türkisches Recht und die Gerichte von Istanbul, vorbehaltlich zwingender Verbraucherrechte.
En utilisant Sparkus, vous acceptez les présentes conditions et notre politique de confidentialité. Si vous agissez pour une organisation, vous déclarez être habilité à l’engager.
2. Comptes et usage acceptable
Vous fournissez des informations exactes, protégez vos identifiants et signalez tout accès non autorisé. Sont interdits : violations de la loi, logiciels malveillants, accès non autorisé ou perturbation du service.
3. Contenu et propriété intellectuelle
Vous conservez vos droits sur vos contenus et nous accordez une licence limitée d’hébergement et de traitement pour exploiter le service. Les logiciels et marques Sparkus nous appartiennent.
4. Exclusion de garanties et limitation de responsabilité
Le service est fourni « en l’état », dans la mesure permise par la loi. Nous déclinons toute responsabilité pour les dommages indirects, sauf disposition impérative contraire.
5. Suspension, résiliation et modifications
Nous pouvons suspendre l’accès en cas de manquement ou de risque. Nous pouvons modifier les conditions ; l’utilisation après la date d’effet peut valoir acceptation.
6. Droit applicable
Sauf accord écrit contraire, le droit turc et les tribunaux d’Istanbul s’appliquent, sans préjudice des droits impératifs des consommateurs.
